Terms of Agreement

These Terms govern your access to and use of the DoronX mobile app, web application at doronx.com, and all associated services including DoronSwap, the Vault, SalaryFlow, Smart Invoice, Payment Stands, Bulk Payout, Virtual Cards, Games Arena, and any APIs or integrations we provide.

These Terms were last updated in April 2026 and supersede all previous versions. If you do not agree to these Terms, you must immediately stop using our services.

Who Can Use DoronX

To use DoronX, you must meet the following requirements:

• Be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher.
• Have the legal capacity to enter into a binding contract.
• Not be a resident of a jurisdiction where our services are prohibited or require a licence we do not hold.
• Not be a sanctioned person or entity under applicable laws and regulations.
• Successfully complete our KYC/AML verification process as required for your account tier and transaction levels.
• Provide true, accurate, and complete information during registration and keep it updated.

Account Responsibilities

Your DoronX account is personal to you. You are solely responsible for all activity that occurs under your account credentials.

• Credentials security: Keep your password, PIN, and 2FA codes confidential. Never share them with anyone, including DoronX staff.
• One account per person: You may not create multiple accounts. Duplicate accounts may be terminated without notice.
• Suspicious activity: Notify us immediately at security@doronx.com if you suspect unauthorised access to your account.
• Accurate information: All information you provide must be truthful. Providing false information may result in immediate account suspension.
• 2FA required: We strongly recommend — and may require — two-factor authentication for certain transaction types and account changes.

We reserve the right to refuse service, close accounts, or cancel transactions at our discretion, including for regulatory compliance, suspicious activity, or breach of these Terms.

DoronX Services

DoronX provides a comprehensive suite of financial services. Each service is subject to these Terms and any additional product-specific terms that may apply.

Services may be modified, suspended, or discontinued at any time. We will provide reasonable notice where possible. DoronX is not a bank and deposits held in your wallet are not covered by bank deposit insurance schemes.

Fees & Charges

Certain DoronX services carry fees. We are transparent about all charges before you confirm a transaction.

All fees are displayed clearly before you confirm any transaction. By confirming, you agree to the displayed fees. Fees may change with 30 days' notice.

What You Must Not Do

You agree not to use DoronX for any of the following prohibited activities. Violation may result in immediate account suspension and report to authorities.

• Money laundering or terrorist financing: Using our platform to conceal the origin of funds or finance illegal activities.
• Fraud or impersonation: Creating accounts under false identities, impersonating others, or deceiving other users.
• Market manipulation: Artificial inflation or deflation of crypto asset prices, wash trading, or co-ordinated pump-and-dump schemes.
• Sanctions evasion: Circumventing financial sanctions imposed by any government or regulatory body.
• Hacking or reverse engineering: Attempting to breach our security, access other users' accounts, or reverse-engineer our software or APIs.
• Automated abuse: Using bots, scrapers, or automated tools to access the platform in a manner that degrades performance for others.
• Illegal transactions: Using our services to purchase, sell, or facilitate any illegal goods or services.
• Sharing account access: Allowing third parties to operate your account on your behalf without our written consent.

Cryptocurrency Rules

• Network selection: You are responsible for selecting the correct network (BEP20, ERC20, TRC20, Solana, BTC) for deposits and withdrawals. Sending on the wrong network will result in lost funds we cannot recover.
• Confirmation times: On-chain transactions require network confirmations before crediting. Times vary by network and congestion.
• Rate volatility: Crypto prices fluctuate significantly. The rate you see at the time of viewing may differ from the rate at the time of execution.
• Private keys: DoronX never stores your private keys. You are responsible for the security of any external wallets connected via WalletConnect.
• DORX tokens: DORX is an in-app rewards token. It has utility value within the DoronX ecosystem but does not constitute an investment and its value may be zero outside the platform.

Intellectual Property

All content, branding, software, code, designs, text, logos, and materials within DoronX are the exclusive property of Lazy Logic Limited or our licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use DoronX solely for your own personal or business financial needs. This licence does not include the right to:

• Reproduce, distribute, or create derivative works from our platform or content.
• Reverse engineer, decompile, or disassemble any part of our software.
• Use our brand name, logo, or trademarks without prior written consent.
• Build competing products or services using our proprietary methodologies.

Any feedback or suggestions you provide to us may be used by DoronX without restriction or compensation to you.

Limitation of Liability

DoronX shall not be liable for:

• Losses arising from blockchain network failures, congestion, or protocol bugs outside our control.
• Market losses resulting from crypto price volatility.
• Losses resulting from your failure to maintain account security (e.g. sharing passwords, phishing).
• Losses arising from third-party service disruptions (Maplerad, AAVE, MoMo operators, etc.).
• Indirect, incidental, consequential, special, or punitive damages of any kind.
• Loss of data, revenue, profits, or business arising from service interruptions.

DoronX services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law.

Account Termination

By you: You may close your DoronX account at any time by contacting us at support@doronx.com. Before closure, you must withdraw all remaining balance. We may take up to 14 business days to process account closure requests.

By us: We may suspend or terminate your account immediately and without prior notice if:

• You violate these Terms or any applicable law or regulation.
• We are required to do so by law, court order, or regulatory direction.
• We reasonably suspect your account is involved in fraud, money laundering, or other illegal activity.
• Your account poses a risk to the security of the platform or other users.

Upon termination, you remain liable for any obligations arising before termination. Sections on intellectual property, liability, and disputes survive termination.

Dispute Resolution

We want to resolve any concerns you have quickly and fairly. In the event of a dispute:

• Step 1 — Contact us first: Reach out to support@doronx.com with full details. We will respond within 5 business days and aim to resolve within 30 days.
• Step 2 — Mediation: If we cannot resolve the dispute informally, both parties agree to attempt resolution through good-faith mediation before pursuing formal proceedings.
• Step 3 — Governing law: These Terms are governed by the laws of Ghana. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Ghana.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via in-app notification and/or email at least 14 days before the changes take effect.

Continued use of DoronX after the effective date constitutes your acceptance of the revised Terms. If you do not accept the updated Terms, you must stop using our services before the effective date.
